Terms of Service

1. Acceptance of Terms

Welcome to Tactico, a service operated by Tactico Sports Group Inc. ("we," "our," or "us"). By accessing or using our website at tactico.pro (the "Site") and our sports coaching platform (the "Service"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you may not access or use the Service. By creating an account or using the Service, you represent that you are at least 18 years old or have the consent of a parent or guardian.

2. Service Description

Tactico is a web-based sports coaching platform that allows coaches, teams, and individuals to:

• Create and visualize tactical formations for soccer
• Design plays and strategies using our digital canvas tools
• Export tactical diagrams as images or videos
• Save and manage tactical plans (Pro feature)
• Access pre-built formation libraries (Pro feature)
• Use Tacti, our AI assistant, to set up teams, schedule training, draft session plans and research drills (Pro, Pro Plus and trial accounts)

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

3. User Accounts

3.1 Account Creation

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. We are not liable for any loss or damage arising from your failure to protect your account information.

4. Subscriptions & Billing

4.1 Free Plan

Tactico offers a free plan with limited features. Free plan users have access to:

• Basic tactical canvas for soccer
• Drawing tools and annotations
• Screenshot exports
• Limited color options
• Tacti's guides and Show me tours (Tacti's AI is part of Pro, Pro Plus and the Pro trial)

4.2 Pro Subscription

Our Pro subscription ("Tactico Pro") is billed at $7.99 per month, or $71.88 per year if you choose annual billing. Subscriptions started at a previous price keep that price for as long as they stay active. Pro subscribers receive:

• All free plan features
• 100+ professional formations library
• Custom team colors
• Video recording
• Tacti, our AI assistant, with 100 AI credits each month (see section 4.6)
• Cloud storage for up to 500 saved plans (we will raise this limit on request)
• Priority support

4.3 Billing

By subscribing to Tactico Pro, you authorize us to charge your payment method on a recurring monthly basis until you cancel. All payments are processed securely through Stripe or, where you choose it for a subscription, PayPal. You agree that:

• You will provide valid payment information
• You authorize recurring charges to your payment method
• Subscription fees are billed in advance each billing cycle
• All fees are stated in US Dollars (USD)

4.4 Price Changes

We reserve the right to change subscription prices, except as stated in sections 4.2 and 4.5. Any price changes will be communicated to you at least 30 days in advance and will take effect at the start of your next billing cycle.

4.5 Pro Plus

Pro Plus is billed at $12.99 per month, or $119.88 per year if you choose annual billing. Subscriptions started at a previous price keep that price for as long as they stay active. Pro Plus includes everything in Pro, 400 AI credits each month instead of 100, and 25% off credit packs. Pro Plus does not include a free trial. Once you are a paying Pro subscriber you can upgrade to Pro Plus, and the change is prorated for the rest of your current billing period. The upgrade is not available during the free trial. If you pay through PayPal, contact us to switch.

4.6 AI Credits

"AI credits" are the units that pay for the jobs Tacti does for you. Chatting with Tacti and asking how-to questions does not use credits. At launch, setting up a team and its players uses 3 credits, scheduling weekly training uses 2, an AI session plan uses 5, a research report with cited sources uses 10, a player evaluation uses 1, a player progress check or two-player comparison uses 1, and an AI-built drill uses 3. We may change these costs for future use and will show the current costs on our pricing page.

• Pro and Pro Plus each include a monthly allowance of credits (Pro: 100, Pro Plus: 400). Monthly credits renew each month, do not roll over, and are used before any pack credits.
• The 7-day Pro trial has its own allowance of 5 AI tasks and 30 chats with Tacti.
• Fair use: Tacti allows up to 200 chats a day, and AI session plans, research and AI-built drills are limited to 15 attempts a day between them, whether or not you have credits left. We may adjust these limits to keep the Service reliable.
• Credits have no cash value and cannot be transferred, exchanged or redeemed for money.
• Tacti is an AI assistant. Its output can contain mistakes, and research reflects third-party web sources that we do not control. Check what Tacti prepares before you use it. Tacti only saves changes to your account after you confirm them.

4.7 Credit Packs

You can buy additional AI credits in packs while you are on Pro or Pro Plus: 100 credits for $3.99 or 300 credits for $9.99, or $2.99 and $7.49 on Pro Plus. At launch, packs are paid by card, including if your subscription is billed through PayPal. Credit packs are one-time purchases, not subscriptions, and are not renewed automatically. Pack credits do not expire, but you need an active Pro or Pro Plus plan to use them. Refunds for packs are described in section 6.2.

5. Free Trial

We may offer a 7-day free trial for new subscribers. During the trial:

• You will have full access to Pro features, including 5 AI tasks and 30 chats with Tacti
• The free trial is available on Pro only. Pro Plus does not include a free trial
• A valid payment method is required to start the trial
• You will not be charged during the trial period
• If you do not cancel before the trial ends, your subscription will automatically begin and your payment method will be charged

6. Cancellation & Refunds

6.1 Cancellation

You may cancel your subscription at any time through:

• Your Tactico Profile page
• The Stripe customer portal
• Contacting us at [email protected]

Upon cancellation:

• You will retain access to Pro features until the end of your current billing period
• Your account will revert to the free plan after the billing period ends
• Your saved data will be retained but some Pro features will become inaccessible
• Credits from packs you bought do not expire, but you need an active Pro or Pro Plus plan to use them. Unused monthly credits end with your billing period

6.2 Refund Policy

Due to the digital nature of our Service:

• Free trial users: No charge occurs if cancelled within the trial period
• Monthly subscribers: No refunds for partial months. You maintain access until the end of your billing period
• Annual subscribers: No refunds for the unused portion of your annual billing period. Upon cancellation, you retain full Pro access through the end of your current annual period
• Credit packs: Packs are one-time purchases and are non-refundable once any of the pack's credits have been used. An unused pack may be considered for a refund case by case if you contact us within 7 days of the charge
• Monthly credits: The monthly credits that come with a plan are part of the subscription and are not refunded separately
• Exceptions: Refunds may be considered on a case-by-case basis for technical issues that prevented use of the Service. Contact us at [email protected] within 7 days of the charge

7. User Conduct

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems (bots, scrapers) to access the Service
• Share your account credentials with others
• Resell, redistribute, or commercially exploit the Service without authorization
• Upload malicious code or content
• Harass, abuse, or harm others through the Service
• Circumvent any access restrictions or usage limits

8. User Content

8.1 Your Content

You retain ownership of any tactical diagrams, formations, or other content you create using the Service ("User Content"). By using the Service, you grant us a limited license to store and display your User Content solely for the purpose of providing the Service to you.

8.2 Content Responsibility

You are solely responsible for your User Content. You represent that you have all necessary rights to create and share your content and that it does not infringe on any third-party rights.

8.3 Content Removal

We reserve the right to remove any User Content that violates these Terms or that we deem inappropriate, without prior notice.

9. Intellectual Property

9.1 Our Intellectual Property

The Service, including its design, graphics, logos, software, and all related content, is owned by Tactico and protected by intellectual property laws. You may not:

• Copy, modify, or distribute our intellectual property
• Use our trademarks or branding without permission
• Create derivative works based on the Service

9.2 Feedback

If you provide feedback or suggestions about the Service, you grant us the right to use such feedback without compensation or attribution.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT
• UNINTERRUPTED OR ERROR-FREE OPERATION
• SECURITY OF DATA TRANSMISSION

We do not guarantee that the Service will meet your requirements or that any errors will be corrected. Your use of the Service is at your own risk. Content generated by Tacti, including session plans and research summaries, is provided to help you plan and is not professional, medical or safety advice. You are responsible for reviewing it and for how you use it.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TACTICO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, USE, OR GOODWILL
• INTERRUPTION OF BUSINESS
• ANY DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $50, WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR EXCLUSION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS MAY NOT APPLY.

12. Indemnification

You agree to indemnify, defend, and hold harmless Tactico and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content

13. Termination

13.1 Termination by You

You may terminate your account at any time by canceling your subscription and ceasing to use the Service.

13.2 Termination by Us

We may suspend or terminate your account and access to the Service at any time, with or without cause, including if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Fail to pay subscription fees
• Pose a security risk to the Service

13.3 Effect of Termination

Upon termination:

• Your right to use the Service immediately ceases
• We may delete your account and User Content
• Provisions that should survive (intellectual property, disclaimers, limitations of liability) will remain in effect

14. Changes to Terms

We may update these Terms at any time. When we make changes:

• We will update the "Last Updated" date at the top of this page
• For material changes, we will notify you via email or through the Service
• Your continued use of the Service after changes constitutes acceptance of the new Terms

We encourage you to review these Terms periodically.

15. Governing Law & Disputes

15.1 Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles.

15.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through:

1. Informal Resolution: Contact us first to attempt to resolve the dispute informally
2. Binding Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules

15.3 Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS OR CLASS ARBITRATIONS.

16. Email Communications

16.1 Consent

Tactico may send you educational and marketing emails about features, coaching tips, and product updates. These emails are opt-in only. You will only receive them if you explicitly consent, either by checking the email preferences checkbox during sign-up or by enabling email categories in your Profile settings.

16.2 Email Categories

We offer three categories of email communication, each of which you can enable or disable independently:

• Coaching Tips: "Did You Know?" emails highlighting Tactico features and how to use them effectively for your team
• Product Updates: Announcements about new features, improvements, and platform changes
• Marketing & Promotions: Special offers, discounts, and promotional campaigns

Note: Transactional emails (password resets, subscription confirmations, payment receipts) are not marketing emails and will always be sent regardless of your email preferences, as they are necessary to operate your account.

16.3 Withdrawing Consent

You may withdraw your email consent at any time through any of the following methods:

• Clicking the Unsubscribe link at the bottom of any marketing email (one-click, instant)
• Adjusting your email preferences on your Profile settings page
• Contacting us at [email protected]

Unsubscribe requests are processed immediately. You may still receive emails that were already queued before your request.

16.4 Your Email Privacy

Tactico will never sell, rent, or share your email address with third parties for their marketing purposes. Your email address is used solely for Tactico account management and the email categories you have consented to receive. For full details on how we handle your data, please see our Privacy Policy.
